Terms and Conditions

1. Definitions

• Account : Your unique user profile created to access and use the Service.
• Service : The DocExtract web application and related services, including document upload, OCR, LLM processing, structured exports (e.g., CSV/PDF).
• User Content : Any files, text, data, or metadata you upload to the Service, and any derivative data.
• Subscription : The plan under which you use the Service (Free/Basic, Professional, Business/Enterprise) and its associated features.
• Digital Personal Data : As defined in the DPDP Act – personal data in digital form about an individual who is identifiable.
• Data Fiduciary / Processor / Principal As defined in the DPDP Act – your role may vary depending on whether you upload User Content or we process it on your behalf.

2. Scope & Acceptance of Terms

Your use of the Service is subject to compliance with:

• The IT Act and its rules (including amendments).
• The DPDP Act, 2023, and forthcoming rules.
• These Terms and our Privacy Policy.

By creating an Account or using the Service, you accept these Terms and agree to comply with all applicable laws and regulations.

3. User Accounts

• You must register with a valid email and password.
• You are responsible for all activities occurring under your Account.
• You must notify us immediately of any unauthorized use.
• We may suspend, restrict or terminate your Account at our discretion if you breach these Terms or applicable laws.

4. Subscription Plans & Payments

• Plans: Free/Basic, Professional (Paid), Business/Enterprise.
• Billing: Paid plans are billed in advance; the fees are non-refundable except as required by applicable law.
• Auto-Renewal: Subscriptions automatically renew unless cancelled prior to the next billing cycle.
• Payment Gateway: Payments are processed via Razorpay India Pvt Ltd., PCI-DSS (v4.0) certified. We do not store CVV or PIN details.
• Taxes: Applicable taxes (e.g., GST) will be charged as required under Indian or international law.

5. License Grant & Restrictions

• We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes.

• You may not:

• Resell, sublicense or redistribute the Service or its output without written permission.
• Reverse-engineer, decompile or derive source code.
• Circumvent any security measures or access controls.
• Use the Service to violate any law, third-party rights, or these Terms.

6. User Obligations

You agree that you will not:

• Do not use the Service for unlawful or infringing purposes.
• Do not upload malicious content (viruses, trojans, ransomware).
• Do not attempt unauthorized access, data scraping or automation not authorised by us.
• Do not use the Service in a way that harms the Service, our infrastructure, or other users.

7. User Content & Uploads

• Ownership: You retain all rights to your User Content.
• Processing: By uploading, you grant us a licence to process your User Content for the purposes of operating the Service (OCR, AI processing, export generation).
• Storage & Retention: Files are stored securely (e.g., AWS S3). Users may delete their uploaded content at any time via their account interface. We retain processed history and related metadata for user-convenience. Permanent deletion of processed history occurs only as otherwise agreed or upon account termination.
• Responsibility: You remain responsible for ensuring that your User Content does not infringe third-party rights or applicable law.

8. Data Storage & Security

• Data in transit is encrypted (TLS 1.2+); data at rest is encrypted (AES-256 or equivalent).
• Our infrastructure is compliant with ISO/IEC 27001, SOC2 and other relevant standards.
• We may store or process data internationally (outside India) where necessary for redundancy, performance or business continuity.
• Under the DPDP Act, if we process digital personal data of Indian residents, we act as a Data Fiduciary or Processor and must implement organisational and technical safeguards.

9. Privacy & Data Protection

• We comply with the DPDP Act’s requirements for collection, processing, storage, transfer, correction and deletion of digital personal data.
• You have rights as a Data Principal (in relevant cases) to access, correct, erase or object to processing of your personal data.
• If you are processing personal data of others (e.g., your customers) via our Service, you must obtain valid consent, ensure purpose limitation and fulfil other fiduciary obligations under the DPDP Act.
• For Indian users, in addition to DPDP obligations, we comply with Indian IT rules and SPDI rules as applicable.

10. Intellectual Property

All rights, title and interest in the Service, the software, user interface, documentation and trademarks remain with Legends Crafts or its licensors. You may not copy, modify, adapt, translate, distribute, create derivative works or part with rights in any of the foregoing without our prior written consent.

11. Fees, Billing Changes & Refunds

• We will notify you at least 30 days in advance of any material change to fees for existing subscriptions.
• Refunds are not generally provided except as required by applicable law or as expressly stated in these Terms.
• If billing fails, your access to the Service may be suspended or terminated.

12. Disclaimer of Warranties

• The Service is provided “AS IS” and “AS AVAILABLE” without any representations or warranties of any kind.
• We expressly disclaim any implied warranties of merchantability, fitness for a particular purpose, accuracy or non-infringement.
• You acknowledge that AI-based extraction (OCR/LLM) may produce inaccuracies; you are responsible for reviewing and verifying any output before relying on it.

13. Limitation of Liability

• To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or in connection with your use of the Service.
• Our aggregate liability to you under these Terms shall not exceed the total subscription fees you paid in the 12 months preceding the event giving rise to the claim.

14. Indemnification

• You agree to indemnify, defend and hold harmless Legends Crafts, its affiliates, officers and employees from any claims, losses, liabilities, costs or expenses (including reasonable attorneys’ fees) arising out of:
• Your use or misuse of the Service;
• Your breach of these Terms;
• Your violation of applicable laws or third-party rights.

15. Termination

• We may suspend or terminate your access to the Service at any time for cause (including breach of these Terms or applicable law) or without cause with prior notice.
• Upon termination, you must discontinue use of the Service. We may delete your User Content in accordance with our data retention and purge policies.
• Clauses which by their nature should survive termination (e.g., indemnification, limitation of liability, intellectual property) shall survive.

16. Governing Law & Jurisdiction

• These Terms shall be governed by and construed in accordance with the laws of India.
• Any dispute arising out of or relating to these Terms will be subject to the exclusive jurisdiction of the courts in Gurgaon, Haryana, India.

17. Compliance with Digital Personal Data Protection & IT Laws

• Under the DPDP Act, you must ensure that any digital personal data processed via the Service is collected with valid consent (or other lawful ground), used only for specified purposes, minimally necessary, and securely processed.
• Cross-border transfer: The DPDP Act permits the transfer of digital personal data outside India unless a country has been restricted by the Government of India.
• The IT Act (as amended) provides for legal recognition of electronic records, digital signatures, and imposes obligations on intermediaries and users of digital services.
• We reserve the right to amend and comply with any new rules or amendments as they come into force (e.g., DPDP Rules, IT Rules) and you agree to abide by updated provisions.

18. Changes to Terms

• We may update these Terms from time to time. We will notify you of material changes at least 30 days in advance (via email or via the Service).
• If you continue to use the Service after such changes become effective, you will be deemed to have accepted the revised Terms.
